JPMorgan secures CBN approval to establish merchant bank in Nigeria

The Central Bank of Nigeria (CBN) has granted Approval-in-Principle (AIP) to the global financial services firm JPMorgan to establish a merchant bank in the country. The new entity will operate as JPMorgan Merchant Bank Nigeria Limited.

Michael Akuka, the Director of the Corporate Communications and Investor Relations Department at the CBN, confirmed the decision on Friday. He stated that the approval was issued as part of the ongoing and sustained reforms intended to strengthen the Nigerian financial system.

The entry of a major international player into the local specialised banking sector is expected to influence the availability of corporate finance and investment advisory services. Unlike commercial banks, which focus on retail deposits and consumer lending, merchant banks specialise in large-scale corporate transactions, trade finance, and institutional advisory.

Merchant banking in Nigeria is governed by specific regulatory frameworks that distinguish these institutions from the broader commercial banking sector. These organisations typically serve high-net-worth individuals, large corporations, and institutional investors, providing the capital and technical expertise required for complex financial operations and capital market activities.

The presence of a global institution like JPMorgan is likely to impact the depth of the Nigerian capital markets. Industry observers suggest that such an entry could enhance the capacity of the local market to handle large-scale project financing and increase the sophistication of debt and equity structuring for Nigerian companies.

Regulatory requirements and next steps

The approval follows a period of structural adjustments within the Nigerian banking industry, as the CBN seeks to align domestic financial institutions with international standards. By facilitating the entry of global firms, the regulator aims to foster a more robust and competitive financial ecosystem.

Following the receipt of the Approval-in-Principle, JPMorgan must now satisfy several regulatory conditions before it can commence full operations. These requirements include meeting specific minimum capital thresholds, finalising its operational and risk management frameworks, and obtaining a formal banking licence from the CBN.

Once fully operational, JPMorgan Merchant Bank Nigeria Limited is expected to focus on providing bespoke financial services to the country’s corporate sector, including supporting international trade through structured finance and capital market advisory services.
