The Central Bank of Nigeria (CBN) has granted JP Morgan approval-in-principle to establish a merchant bank in the country.
Michael Akuka, the CBN’s director of corporate communications and investor relations, confirmed the development in a statement on Friday. He stated that JP Morgan Merchant Bank Nigeria Limited intends to provide wholesale banking, capital markets, and advisory services.
The granting of the approval-in-principle allows the firm to proceed with the necessary preliminary steps to establish its operations within the Nigerian financial sector.
Scope of proposed merchant banking operations
The planned services target the institutional segment of the economy. Wholesale banking will involve providing large-scale financial solutions to corporations and other financial institutions, rather than the retail services typically offered by commercial banks.
In the capital markets segment, the bank will facilitate the raising of funds through various instruments, including debt and equity. This is expected to provide Nigerian corporations with more sophisticated options for financing large-scale projects and managing institutional liquidity.
The advisory arm of the new merchant bank will focus on strategic financial services. These include mergers and acquisitions, corporate restructuring, and other consultancy roles that assist businesses in navigating complex financial landscapes.
Unlike commercial banks, which manage savings and current accounts for the general public, merchant banks in Nigeria operate within a specialised niche. They focus on high-net-worth individuals, large corporate entities, and institutional investors, providing them with bespoke financial products and services.
The entry of a global entity such as JP Morgan is expected to affect the competitiveness of the local financial services market. Increased participation from international players often improves market depth and provides local firms with access to global financial expertise and standards.
The Nigerian banking sector has undergone various regulatory reforms aimed at ensuring stability and enhancing the capacity of financial institutions to support economic growth. The approval for a new merchant bank follows the CBN’s ongoing efforts to encourage a diverse financial ecosystem that can support both local and international capital flows.
To secure a final operating licence, JP Morgan must satisfy all remaining requirements set by the CBN. These include meeting specific capital adequacy ratios, establishing a robust corporate governance framework, and ensuring strict compliance with the central bank’s risk management guidelines.
